1031 Exchange Execution Checklist

Use this checklist when a client is selling investment or business real estate and wants to defer capital gains tax, depreciation recapture, and the 3.8% NIIT by rolling proceeds into replacement property. Done correctly, a 1031 defers all of it indefinitely and can wipe it out entirely via step-up at death; done wrong, it collapses and triggers tax on the full gain. The two failure points that kill most exchanges are touching the proceeds and missing a deadline — so the single most important step is engaging a Qualified Intermediary BEFORE the relinquished property closes. Walk this list before, during, and after the sale to keep the exchange valid.

Pro Tip

The 45-day identification and 180-day closing windows run in calendar days from the relinquished closing — not business days, with no extension for weekends, holidays, or a stalled replacement closing (only rare federally declared disasters). The 180-day clock is also capped by your tax-return due date, so a Q4 sale can force you to close before April 15 unless you extend the return. Miss either date by one day and the whole exchange fails — never let the replacement closing slip without a backup DST identified.
