Full Definition

A Purchase and Sale Agreement is the binding contract between buyer and seller in a commercial transaction. It covers purchase price, earnest money, representations and warranties, environmental indemnifications, default remedies, assignment of leases, closing conditions, and dozens of other legal provisions. Commercial PSAs are far more complex than residential.
